Board Member Responsibilities

Northwind’s board members have roles within the governing body, contribute their expertise and participate in the board's work. Individual Board Member responsibilities include:

  • Mission: Knowledge of Northwind’s values, vision, mission, programs, and events.
  • Term Limit: Serve a two-to-three-year period of time.
  • Board Meetings: Attend monthly meetings, participate in discussions, & make decisions.
  • Committees: Serve on the finance, governance, executive, or development committee.
  • Recruitment: New board members as needs arise.
  • Fundraising: Attend and help with fundraisers and donor cultivation.
  • Financial contribution: Make a yearly personal financial contribution.
  • Advocacy: Represent the organization's mission and values to the public.
  • Fiduciary: Act in the best interests of NWA to fulfill their legal and ethical obligations.
  • Guidance and Support: Provide support and guidance to the executive director and staff.

 

Board Submissions and Nomination Process

  • Selection Proces: Candidate applications are submitted to the Governance Committee for review. Based on a set of criteria outlined in a skills/experience matrix, and positions available, a recommendation is then made to the board body for acceptance.
  • Invitation to Board Meeting: If a candidate’s submission is accepted by the board, they are invited as a guest to attend a board meeting.
    Letter of Interest: If, after observing a board meeting, and there is continued interest, the candidate must submit a letter of interest and resume to the chair of the Governance Committee.
  • Invitation to Join: After a final review of the letter and resume, the board votes to affirm and appoint the nominee.
    The new board member then attends the next appropriate board meeting as newly elected member.
  • Orientation: New board members are paired with a board buddy who can answer questions, guide and support them during the year.
